Modelcore Terms of Service

These Terms of Service (the Terms) are a contract between you and True Level LLC, a Vermont limited liability company (Modelcore, we, us, or our). They govern modelcore.app, create.modelcore.app, the Modelcore beta, and related services (the Service).
By creating an account, you affirmatively agree to these Terms and confirm that you are at least 18 years old. If you use the Service for an organization, you represent that you have authority to bind it. If you do not agree, do not create an account or use the authenticated Service.
1. The beta
Modelcore is an early beta. Features, file formats, limits, and availability may change. The Service may contain defects or lose data. Keep independent backups and export important work regularly.
Modelcore is a design tool, not a substitute for professional judgment. Do not rely on it as the sole basis for structural, life-safety, code-compliance, manufacturing, surveying, or other decisions where an error could cause injury, property damage, or regulatory noncompliance. Verify outputs with qualified professionals and appropriate downstream tools.
2. Accounts and access
You must provide accurate information, keep your credentials secure, and promptly tell us about suspected unauthorized access. Authentication may be provided through WorkOS AuthKit and supported identity providers, including Google and Microsoft. You are responsible for activity under your account unless caused by our breach of these Terms or applicable law.
Beta access is limited and may be waitlisted, approved, suspended, or withdrawn. You may not sell, transfer, or share access credentials.
3. Your content
Your Content includes models, geometry, files, images, prompts, feedback-board posts, comments, and other material you upload or create through the Service. As between you and Modelcore, you retain your rights in Your Content.
You grant Modelcore a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, modify, and otherwise process Your Content only as reasonably needed to:
- provide, secure, support, and improve the Service;
- perform actions you request, including collaboration, import, export, rendering, site-context retrieval, and AI-assisted operations;
- investigate abuse or technical failures; and
- comply with law and enforce these Terms.
This license ends when Your Content is deleted from active systems, subject to reasonable backup, security, legal, and dispute-retention periods. It does not give Modelcore the right to sell your models or use private project content to advertise Modelcore.
You represent that you have the rights and permissions needed for Your Content and its use through the Service. Do not upload confidential, export-controlled, unlawfully obtained, infringing, or privacy-invasive material unless you are authorized to do so and the Service is appropriate for it.
4. Collaboration and sharing
Project owners and authorized members may invite others to a project. Depending on project settings and roles, collaborators may view, copy, edit, export, or delete shared content. You are responsible for choosing collaborators and project settings. Removing access does not recall copies already exported or lawfully retained by another collaborator.
The Service may show live presence, locks, edits, comments, and authorship information to project members. Multiplayer and conflict controls reduce collisions but do not guarantee that every edit will be preserved.
5. AI-assisted features
Some features may send the prompt, selected model context, or other content you choose to an AI provider, currently OpenAI, to produce a response or proposed action. AI output may be inaccurate, incomplete, or unsuitable. Review it before relying on or committing it.
You must not use AI-assisted features to violate law, third-party rights, provider rules, or these Terms. Your use of OpenAI-powered features is subject to the provider restrictions incorporated into our service arrangement; you do not contract directly with OpenAI merely by using a Modelcore feature.
6. Acceptable use
You may not:
- infringe copyright, trademark, privacy, publicity, trade-secret, or other rights;
- upload malware or attempt unauthorized access, credential theft, or security testing without written permission;
- interfere with the Service, evade limits, scrape non-public data, or overload infrastructure;
- use the Service to harass, defraud, impersonate, or facilitate unlawful conduct;
- reverse engineer the Service except where applicable law expressly permits it;
- remove proprietary or attribution notices; or
- use the Service or its output to build or train a competing model or service by automated extraction, except with our written permission.
We may investigate suspected violations and preserve or disclose information when reasonably necessary to protect users, the Service, or legal rights.
7. Modelcore intellectual property
Except for Your Content and identified third-party material, the Service, software, interfaces, documentation, and branding are owned by True Level LLC or its licensors and are protected by intellectual-property laws. These Terms grant only a limited, revocable, non-transferable right to use the Service as provided. No implied license is granted.
Modelcore and related names, logos, and trade dress are marks of True Level LLC. Third-party marks belong to their owners. Reference to a third-party product does not imply affiliation, sponsorship, or endorsement. See our Trademark Policy.
If you submit product feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. This does not transfer ownership of your project content.
8. Copyright complaints
We respect copyright and require users to do the same. Our Copyright and DMCA Policy explains notices, counter-notices, and our repeat-infringer policy. The DMCA addresses copyright and does not govern trademark disputes.
9. Third-party services and materials
The Service relies on third-party infrastructure, authentication, analytics, email, mapping, AI, storage, and content providers. Their availability may affect the Service. Required map and data attribution remains with the relevant output or interface. Our Privacy Policy and Service Providers page identify material providers and data handling.
Third-party open assets remain subject to their stated licenses. Modelcore does not grant rights it does not own.
10. Privacy
Our Privacy Policy explains how we handle personal information. Optional analytics and advertising measurement are controlled through the site's Privacy choices control. Account creation separately records the Terms and Privacy Policy versions you accepted, the time, adult confirmation, and source flow.
11. Suspension, termination, and deletion
You may stop using the Service at any time and request account deletion at support@modelcore.app. We may suspend or terminate access for a material breach, security risk, legal requirement, prolonged inactivity, or discontinuation of the beta. When practical, we will give notice and an opportunity to export content, but urgent security or legal issues may require immediate action.
Sections that by their nature should survive termination do survive, including ownership, licenses already needed for retained backups or legal compliance, disclaimers, liability limits, and dispute terms.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided as is and as available. Modelcore disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted operation, error-free geometry, compatibility with every file, preservation of every edit, or that output is suitable for construction, fabrication, permitting, or professional certification.
Some jurisdictions do not allow certain disclaimers, so they apply only to the extent lawful.
13. Limitation of liability
To the maximum extent permitted by law, True Level LLC and its members, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, or data; or the cost of substitute services arising from the Service.
Our aggregate liability for all claims arising from the Service will not exceed the greater of (a) amounts you paid Modelcore for the Service during the 12 months before the event giving rise to the claim or (b) US $100.
These limits do not apply where prohibited by law or to liability that cannot lawfully be limited, including liability for fraud or willful misconduct. Essential consumer remedies remain available.
14. Indemnity for business use
If you use the Service on behalf of a business, you will defend and indemnify True Level LLC against third-party claims arising from Your Content, your unlawful use of the Service, or your material breach of Sections 3 or 6. This obligation does not apply to the extent a claim was caused by Modelcore's breach, negligence, or willful misconduct. We will give prompt notice and reasonable control of the defense, and you may not settle a claim in a way that admits fault by or imposes obligations on Modelcore without consent.
15. Governing law and disputes
Vermont law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in Vermont have exclusive jurisdiction, and each party consents to those courts. Before filing a claim, contact support@modelcore.app and allow 30 days for an informal resolution attempt. Either party may seek urgent injunctive relief when necessary to protect rights or security.
Nothing in this section removes rights you cannot waive under applicable consumer law.
16. Changes
We may update these Terms as the Service or law changes. We will post the new effective date and, for material changes, provide reasonable notice. If a material change requires renewed agreement, we will ask you to accept the new version before continued authenticated use. Changes do not apply retroactively unless law requires it.
17. General
These Terms and incorporated policies are the entire agreement about the Service. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, or sale of the business or relevant assets. Neither party is liable for delay caused by events beyond reasonable control.
